So I want to upgrade my CPU fan so I can overclock my cpu from 2.66 to 3.0+?? (I have no idea how high I can safely go), but I need a new CPU fan. This one idles at 45*C and goes up to about 65*C on load. I would like suggests for a fan that is under $150, which gives you lots of room to work with and it should be socket 775. This is an E8200 so it's a duo, not quad core.

Thermalright Ultra 120 and a Scythe S-Flex 120mm fan should run you under 80 bucks and it's probably the best HS and fan combo you can get

I just bought OCZ Vendetta 2, and it's apparently pretty damn good from what I've read, and I got it for 40 euros. Apparently it's pretty big though, so you might want to make sure it won't block your memory slots on the motherboard (which was a problem for the reviewer).

The Thermalright 120 is by far the best air cooler on the market. I use the Thermaltake MaxOrb, which is also excellent.

EDIT. Is the Thermalright Ultra 120 easy to install? I might put the Vendetta 2 to my other comp and buy Ultra 120 if I notice that the temps are too high for me after I OC.

Almost all heatsinks go on the same way. Remove the old one, apply thermal paste, clip/screw new one into place. Instructions should be in your motherboard manual and the documentation that comes with the heatsink as well as with your processor.

it's kind of a bitch to get the fan on it but overall it's a pretty painless install, make sure your case is deep enough because the fucker's tall

A small tip people may have forgotten...
It's a very common misconception that you will want  a 100% copper fan/heatsink because it's a better conductor, but in reality aluminum's dissipation is way better than copper, so if possible try to get a copper/aluminum sink because it'll both conduct and dissipate the heat off of your CPU effectively.
